These Terms of Use (the “Terms”) govern your access to and use of OpenLume’s website, applications, voice interfaces, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
Please also review our Privacy Policy, which describes how we collect, use, and safeguard personal data.
Eligibility; Account Security
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority, you may use the Service only with the consent of a parent or legal guardian.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security.
We may suspend or terminate your access to the Service for violation of these Terms, suspected fraud, abuse, unlawful use, or to protect the Service or other users.
Acceptable Use
You agree not to use the Service for any unlawful purpose or in a manner that violates applicable laws, regulations, or third-party rights. Prohibited conduct includes, without limitation: reverse engineering, scraping or data mining (except as expressly permitted), attempting to gain unauthorized access, interfering with or disrupting the Service, or using the Service to build a competing product.
AI & Voice Features; Educational Use Only
The Service uses artificial intelligence (“AI”) and may include voice-based interactions to provide personalized learning experiences, mock interviews, assessments, and study materials. AI outputs may be inaccurate or incomplete. The Service is provided for guidance and educational purposes only and is not a substitute for professional advice, regulatory compliance, or due diligence.
You are solely responsible for verifying AI-generated content and for any decisions made in reliance on it. We expressly disclaim liability for errors, inaccuracies, or omissions in AI outputs and for any decisions, actions, or consequences arising from their use, including employment, career, or financial outcomes.
By using voice features, you consent to the capture and processing of audio inputs to provide the Service (e.g., transcriptions, intent detection). Do not share sensitive information by voice. Where required by law, you represent that you have obtained consent from all participants before recording or transmitting audio.
Fair Use; Usage Quotas
Plans may include AI usage quotas as described on our Pricing page. Quotas are designed to ensure fair use and operational stability. Exceeding your quota is not permitted. We may reasonably adjust quotas or rate limits to reflect demand and resource availability. We will provide notice of material changes via email or in-app notice.
Subscriptions, Billing, Cancellations & Refunds
Paid subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) until cancelled. You can cancel at any time, and your access will continue through the end of the current billing period.
Fees and charges are non-refundable except where required by law or as expressly stated at the time of purchase. We may change prices or plan features with at least 30 days’ prior notice for renewals. Taxes may apply and are your responsibility.
We may offer free trials or promotional periods subject to eligibility and specific terms presented at sign-up. We reserve the right to modify or terminate promotions at any time.
Your Content; License to Us
You may submit content to the Service, including prompts, code, assignments, and other materials (“User Content”). You retain ownership of your User Content. You grant OpenLume a worldwide, non-exclusive, royalty-free license to host, process, reproduce, display, and create derivative works of your User Content solely to operate, improve, and provide the Service (including to generate AI outputs for you and to maintain backups, logs, and diagnostics).
You represent and warrant that you have all rights necessary to submit User Content and that your User Content does not infringe or violate any third-party rights or laws.
Intellectual Property; Limited License
The Service, including its content, features, and functionality, is owned by OpenLume and/or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial learning.
You may download or share learning plans and materials provided by the Service for personal, non-commercial use only. Any modification, reproduction, distribution, or use beyond personal use requires our express written consent. Unauthorized use, including commercial distribution or representing our materials as your own, may result in legal action.
If you provide feedback or suggestions, you grant us a perpetual, worldwide, irrevocable, royalty-free license to use and exploit that feedback without restriction or obligation to you.
Third-Party Services & Links
The Service may integrate with or link to third-party services (e.g., AI providers, payment processors, storage, communications). We are not responsible for third-party content, availability, or practices. Your use of third-party services is governed by their terms and privacy policies.
Beta & Experimental Features
We may offer preview, beta, or experimental features that are provided “as is,” may be subject to additional terms, and may be modified or discontinued at any time without notice.
Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING OR USAGE. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPENLUME AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless OpenLume and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your User Content; or (c) your violation of these Terms or applicable law.
Copyright Complaints
If you believe content on the Service infringes your copyright, please contact us at hello@openlume.com with: (i) a description of the work you claim has been infringed; (ii) the URL or location of the allegedly infringing content; (iii) your contact details; and (iv) a statement that you have a good-faith belief the use is not authorized.
Compliance; Export Controls
You represent that you are not located in, and will not use the Service in, any jurisdiction where such use is prohibited by applicable sanctions or export control laws. You agree to comply with all applicable export and re-export restrictions and regulations.
Changes; Suspension; Termination
We may update these Terms from time to time. Changes take effect upon posting to the Service with the “Last updated” date revised. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
Governing Law; Venue
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. You and OpenLume agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service.
Miscellaneous
These Terms constitute the entire agreement between you and OpenLume regarding the Service and supersede all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of such right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
